THESE TERMS AND CONDITIONS OF USE & SALE ("TERMS") TOGETHER WITH OUR PRIVACY STATEMENT FORM A LEGALLY BINDING AGREEMENT ("AGREEMENT") BETWEEN YOU AND YOUR BUSINESS ("YOU") AND YT ERA LLC. BY ACCESSING OR USING THIS WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THIS WEBSITE.

THIS AGREEMENT GOVERNS YOUR ACCESS TO AND USE OF THE WEBSITE AND THE SERVICES PROVIDED BY YT ERA LLC, ANY ORDER YOU PLACE THROUGH THE WEBSITE, BY TELEPHONE, OR OTHER ACCEPTED METHOD OF PURCHASE AND, AS APPLICABLE, YOUR USE OR ATTEMPTED USE OF THE PRODUCTS OR SERVICES OFFERED ON OR AVAILABLE THROUGH THE WEBSITE.

THIS AGREEMENT CONTAINS ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT WAIVE YOUR RIGHT TO A COURT HEARING, RIGHT TO A JURY TRIAL, AND RIGHT TO PARTICIPATE IN A CLASS ACTION. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES UNLESS SPECIFIED BELOW IN SECTION 14.

Subject to your continued strict compliance with all Terms, YT ERA LLC provides to you a revocable, limited, non-exclusive, royalty-free, non-sublicenseable, non-transferrable license to use the Website.

You agree not to:

Use the Website in any unlawful manner
Engage in "spamming" or send unsolicited communications
Import sensitive information (SSNs, credit card data, passwords, bank account numbers)
Attempt to hack or otherwise attack the Website
Violate the rights of YT ERA LLC or any third party

SECTION 4 – INFORMATION YOU PROVIDE; REGISTRATION; PASSWORDS

Account Registration

As a YT ERA LLC user, you will be required to create an account. You warrant that the information you provide is truthful and accurate. You are responsible for maintaining the confidentiality of your password and account access.

Individual Use Only

YT ERA LLC accounts are for individual financial professionals only. Each account must represent a single financial advisory practice or professional. You may not:

Share your account credentials with others
Use your account to create content for other financial professionals
Transfer or sell access to your account
Create multiple accounts for the same business entity without our written permission

You are fully responsible for all activities under your account. You agree to immediately notify YT ERA LLC of any unauthorized use. You agree that YT ERA LLC is not liable for any loss or damage arising from your failure to maintain account security.

SECTION 5 – ORDER PLACEMENT AND ACCEPTANCE

Payment must be received before order acceptance. We may require additional information or cancel orders at any time. Your electronic order confirmation does not signify our acceptance. Contact us immediately at hello@ytera.com to modify or cancel pending orders.

All prices are in U.S. Dollars. Your purchase order is conditioned on your re-affirming acceptance of this Agreement.

SECTION 6 – REFUNDS FOR PHYSICAL PRODUCTS

Physical products sold through third-party platforms (like Amazon) are subject to that platform's return policy.

For any physical products sold directly through ytera.com (if applicable), refund requests must be submitted within 30 days to hello@ytera.com.

SECTION 7 – VIDEO TOPIC BRAIN SUBSCRIPTION TERMS

Subscription Activation

The Video Topic Brain AI Assistant subscription begins upon payment confirmation. Your subscription includes:

Access to AI-powered video topic suggestions
Weekly topic drops tailored to financial services
Compliance reminders and considerations
Educational content planning assistance

Billing

Monthly Plan: $47/month, billed automatically each month
Annual Plan: $470/year, billed automatically each year
First payment due upon sign-up
Subsequent payments processed on the same date each billing period

Cancellation Policy

Cancel anytime by emailing hello@ytera.com
Cancellations must be received at least 10 days before your next billing date
No partial month refunds
Access continues until the end of your current billing period
Annual subscriptions are non-refundable but can be cancelled for non-renewal

Failed Payments

If payment fails:

We will attempt to process payment up to 3 times
You will be notified via email
Access may be suspended until payment is received
Suspended accounts can be reactivated upon payment

Changes to Subscription

YT ERA LLC may change subscription pricing with 30 days' notice via email. You may cancel before the new pricing takes effect.

SECTION 8 – SHIPPING FEES

Unless otherwise stated, we reserve the right to add applicable shipping and handling fees. We use commercially reasonable efforts to fulfill orders promptly. Risk of loss passes to you upon delivery to the carrier.

SECTION 9 – PRODUCTS, SERVICES, AND PRICES AVAILABLE ON THE WEBSITE

Products, services, and prices are subject to change without notice. YT ERA LLC reserves the right to discontinue products or modify specifications and prices without obligation. Price changes take effect the first day of the month after posting.

SECTION 10 – TESTIMONIALS, REVIEWS, AND PICTURES/VIDEOS

By submitting testimonials, reviews, or other content, you grant YT ERA LLC a royalty-free, worldwide, perpetual, non-exclusive license to use, modify, and publish such content. Testimonials represent individual experiences and results will vary.

SECTION 11 – DISCLAIMERS OF OTHER WARRANTIES

THE WEBSITE AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT THE WEBSITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

SECTION 12 – LIMITATIONS OF LIABILITIES

IN NO EVENT SHALL YT ERA LLC BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THREE TIMES THE FEES PAID BY YOU IN THE MONTH PRECEDING THE CLAIM OR (B) $2,000.

SECTION 13 – DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ CAREFULLY. YOU AGREE THAT ALL DISPUTES WILL BE RESOLVED THROUGH BINDING ARBITRATION, NOT IN COURT. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.

Any controversy or claim shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration will be conducted in Sheridan County, Wyoming. Each party bears its own fees and costs.

SECTION 14 – YT ERA LLC'S ADDITIONAL REMEDIES

YT ERA LLC may seek injunctive relief in court for any breach of intellectual property rights or confidentiality obligations. You consent to exclusive jurisdiction in Sheridan County, Wyoming for such claims.

SECTION 15 – INDEMNIFICATION

You agree to defend, indemnify, and hold harmless YT ERA LLC from any claims arising from:

Your use of the Website or services
Your breach of these Terms
Your violation of any law or third-party rights
Any content you submit or create using our services
Any regulatory violations related to your financial services marketing

This Agreement takes effect upon your acceptance and continues until terminated. We may terminate immediately for any breach. Upon termination, you remain liable for outstanding fees.

SECTION 19 – NO WAIVER

No waiver is effective unless in writing and signed by YT ERA LLC.

SECTION 20 – GOVERNING LAW AND VENUE

This Agreement is governed by Wyoming law. Any non-arbitrable claims must be brought in Sheridan County, Wyoming.

SECTION 21 – FORCE MAJEURE

YT ERA LLC is not responsible for delays or failures due to causes beyond our reasonable control.

SECTION 22 – ASSIGNMENT

We may assign our rights without notice. You may not assign your rights without our written consent.

SECTION 23 – ELECTRONIC SIGNATURE

Electronic communications have the same force and effect as written communications.

SECTION 24 – CHANGES TO THE AGREEMENT

We may update these Terms at any time. Continued use constitutes acceptance of changes.

SECTION 25 – YOUR ADDITIONAL REPRESENTATIONS AND WARRANTIES

You represent and warrant that:

You are at least 18 years old
You have authority to bind your business
You will not resell our services
You will comply with all applicable laws
If you are a financial professional, you will ensure compliance with all regulatory requirements
You will not use our services for any unlawful purpose

SECTION 26 – SEVERABILITY

If any provision is found invalid, the remaining provisions continue in full force.

SECTION 27 – ENTIRE AGREEMENT

These Terms and our Privacy Statement constitute the entire agreement between us.
